GENERAL TERMS AND CONDITIONS

1. GENERAL AND ACCEPTANCE OF TERMS

1.1 These general terms and conditions (the “General Terms”) are an agreement between you and SKJOLDET Software ApS, company registration (CVR) number 44977605, DK-2800 Kongens Lyngby, Denmark. (“Skjoldet”, “we”, “us”, “our”), and govern your access to and shall apply to the use of Skjoldet's browser extension, mobile application, and all other software applications and services provided by Skjoldet (the “Service”).

1.2 In order to use the Service, you must accept these General Terms. By registering to use, downloading, or using the Service, you confirm that you have read and accepted these General Terms and agree to use the Service in accordance and subject to what is set out in these General Terms.

2. FREE SERVICE

2.1 For the time being, the Service is provided by Skjoldet to you without charge. Skjoldet is not obliged to keep providing the Service (or any part thereof) free of charge.

3. USE OF THE SERVICE

3.1 The Service is a software service solution provided on a variety of platforms which helps users identify and warn users of scam- and phishing websites in real time.

3.2 By registering to use the Service and accepting these General Terms, we grant you a royalty-free, non-exclusive, non-transferable, non-sublicensable, personal, limited, revocable right to use the Service, during the term of these General Terms and on the terms and conditions set out herein. We reserve the right to revoke this right at any time, in our sole discretion.

3.3 You agree not to use or interact with the Service:

a) in any unlawful manner, for any unlawful or criminal purpose, in any manner inconsistent with these General Terms, or in any manner that creates damage or inconvenience to any third party;

b) in a way that conflicts applicable laws or regulations, including but not limited to laws on intellectual property rights;

c) in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other users, or restrict or inhibit any other users from using the Service (including by hacking or defacing the Service); or

d) in a way resulting in the Service being damaged, disabled, or in any other way impaired and that viruses, worms, malware, spyware, or other malicious code or programs that may damage the operation are introduced in the Service.

3.4 In addition to any other user restrictions as provided for under these General Terms, you shall not:

a) copy, scrape, reproduce, republish, derive, reuse, upload, post, transmit or distribute any content presented in or provided by the Service, including without limitation for public or commercial purposes;

b) use the Service for other than personal use, e.g. you shall not use the Services for commercial purposes or as part of an enterprise or enterprise-wide solution;

c) rent, lease, sub-license, loan, distribute or sell/re-sell or exploit the Service (including source code);

d) make alterations to, or modifications of the whole or any part of the Service,

e) disassemble, decompile, reverse-engineer or create derivative works based on the whole or any part of the Service; or

f) circumvent, remove, modify, disable, impair or interfere with any protection or security measure or any content protection implemented by Skjoldet as part of the Service.

4. USER DATA AND PRIVACY

4.1 When using the Service, you may make information and data regarding your usage available to us, and by making user data available to us when using the Service, you grant us a non-exclusive, transferable, perpetual, sub-licensable, worldwide, royalty-free license and right to use, copy, modify, and distribute such user data for the purpose of operating and providing the Service; (ii) our business development purposes and (iii) statistical purposes.

4.2 The Service is subject to Skjoldet's privacy policy from time to time, which is available at https://skjoldet.dk/pages/privatlivspolitik.

5. SUPPORT

5.1 If you have any technical or other requests for support regarding the Service, please contact us at support@skjoldet.dk. We make our best effort to answer any support tickets without undue delay. However, support is provided solely at our discretion, and we have no obligation whatsoever to provide any maintenance or support with respect to the Services.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 We reserve any and all rights (including, without limitation, any and all intellectual property rights, including (but not limited to) copyright with neighbouring rights, database rights, trademarks, domains, trade names and any other form of statutory protection of any kind and applications for any of the foregoing respectively, whether registered or unregistered) in and to the Service, and all such rights shall remain with and be the sole property of Skjoldet.

6.2 Nothing in these General Terms shall be construed as a transfer of any intellectual property rights (i) in and to the Service or (ii) otherwise held or controlled by us or our affiliates, except in respect of the limited right to use such intellectual property rights as explicitly set out herein.

7. TECHNICAL REQUIREMENTS, UPDATES, ETC.

7.1 The Service is available from the following online stores and is made for and is intended for use on the following operation systems and browsers, respectively: (a) AppStore - for iOS and Mac, (b) Chrome - for Mac and Windows or (c) Microsoft Edge - for Mac and Windows or (d) FireFox - for Android, Mac and Windows or (e) Download from the Skjoldet website. For the Service to work and work as intended, you will need to allow the Service access to your browsing history, and the device on which you are using the Service will need to have network access.

7.2 You are responsible for providing the device, wireless service plan, software, internet connections and/or other equipment or services that you must download or install to use the Service. We do not guarantee that the Service can be accessed and used on a particular device, browser or with a particular service plan. We do not guarantee that the Service will be available or work as intended in a particular geographic location. Skjoldet cannot guarantee that the Service will work as intended if your device, operating system or browser does not meet the required technical requirements or assumptions (or in general, cf. Clause 8).

7.3 We reserve the right to (but shall not be under any liability to), at any time, modify, update, upgrade, maintain, repair and/or shut down, temporarily or permanently, the Service (or any part thereof). You acknowledge and agree that we may suspend access to the Service if we, in our sole discretion, need to make such modifications, updates or upgrades or in any other instance. You may be required to update your version of the Service on the applicable and relevant online store as mentioned in Clause 7.1 in order to continue using the Service and/or to make use of any amendments or upgrades made in such update.

8. DISCLAIMER AND NO WARRANTIES

8.1 Skjoldet expressly disclaims any warranty for the Service. You hereby expressly acknowledge and agree that the Service is provided on an “as is” basis and without warranties of any kind. We hereby disclaim any representations or warranties of any kind, express or implied, including without limitation, warranties of satisfactory quality, accessibility or fitness for a particular purpose and non-infringement of third party rights.

8.2 Skjoldet does not guarantee a specific uptime, operational stability, response time, or performance. Your access to and use of the Service may be interrupted from time to time due to third party failures beyond our control (such as unavailability of general internet infrastructure) or otherwise. Access and use may also be interrupted for periodic updating, maintenance or repair of the Service by Skjoldet, as described in Clause 7.3. Skjoldet shall not be held liable if the Service should be unavailable, deactivated, inaccessible or interrupted, and you will not be entitled to any kind of compensation for any downtime of the Service or any security violations or breaches that may occur from time to time.

9. LIMITATION OF LIABILITY

9.1 To the extent not prohibited by law, in no event shall we be liable for any direct, indirect, consequential, punitive, special or incidental damages (including without limitation, damages for loss of data, damage or corruption to or loss of data or programmes and any consequences of not having access to data or programmes, loss of revenue or profit, personal injury, information or business interruption) resulting from, arising out of or in connection with the use of, or inability to use, the Service or out of or in connection with these General Terms. In addition to the terms set forth herein, in no event shall we be liable for any errors, inaccuracies, omissions or other defects on the Service.

9.2 The total aggregate liability of Skjoldet in any one calendar year to a user under these General Terms shall in no circumstances exceed DKK 500.

10. ASSIGNMENT

10.1 Skjoldet reserves the right to transfer its rights and obligations under these General Terms to another party, provided: (i) that such party is controlling, controlled by, or under common control with Skjoldet; or (ii) that transfer is made to a third party in connection with a bona fide transfer of all or part of Skjoldet's business or assets.

10.2 You shall not be entitled to assign your rights or obligations under these General Terms without prior written consent from Skjoldet.

11. AMENDMENTS

11.1 We reserve the right to alter the content of these General Terms, at any time, without prior notice, by publishing an updated version of these General Terms on https://skjoldet.dk/pages/vilkar or by updating the Service to incorporate the new general terms and conditions. By using the Service or by continuing to use the Service after an update to these General Terms, you acknowledge your full understanding of and accept the updated General Terms. If you do not accept the updated General Terms you have the right to immediately terminate these General Terms and consequently cease your use of the Service.

12. TERMINATION

12.1 You are at any time entitled to terminate these General Terms by uninstalling the Service or by notifying us that you want to terminate these General Terms and your use of the Service to support@skjoldet.dk.

12.2 We may terminate these General Terms with immediate effect and at any time without prior notice, without incurring any liability whatsoever.

12.3 Upon termination, you will not have access to or be entitled to use the Service.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 These General Terms shall be governed by the laws of Denmark, with the exception of the Danish rules on conflicts of laws or other rules providing for another jurisdiction.

13.2 Any dispute, controversy or claim arising out of or in connection with these General Terms, or the breach, termination or invalidity thereof, are subject to the exclusive jurisdiction of the courts in Denmark.

14. SEVERABILITY

14.1 The invalidity or unenforceability of any term or any part of any term of, or any right arising pursuant to, these General Terms shall not affect the validity or enforceability of any other terms or rights or the remainder of any such term or right which shall continue in full force and effect except for any such invalid or unenforceable provision or part thereof.

15. CONTACT AND COMPLAINTS

15.1 You may submit a complaint regarding the Service. Complaints shall be submitted in electronic form by sending an email to support@skjoldet.dk. We make our best efforts to review complaints within 14 days and you will be informed once we have reviewed your complaint and the result of the complaint procedure via email.
